Bashly Terms of Service

Effective Date: September 7, 2026

Last Updated: September 7, 2026

These Terms of Service ("Terms") govern your access to and use of the Bashly services, including any websites, mobile applications, APIs, or related services (collectively, the "Services") operated by Bashly, LLC ("Bashly," "we," "us," or "our").

By accessing or using the Services, creating an account, or completing a booking, you agree to be bound by these Terms and acknowledge Bashly's collection, use, and disclosure of information as described in our Privacy Policy.

If you do not agree to these Terms, you may not use the Services.

1. The Bashly Marketplace

Bashly operates an online marketplace that connects individuals seeking event-related products and services ("Hosts") with independent businesses and service providers offering those products and services ("Vendors").

Bashly provides the marketplace and technology through which Hosts and Vendors can discover one another, communicate, make bookings, and facilitate payments.

Unless expressly stated otherwise, Bashly does not itself provide the products or event services offered by Vendors. Vendors are independent businesses and are not employees, agents, partners, joint venturers, or representatives of Bashly.

2. Eligibility and Use of the Services

You must be at least 18 years old and legally capable of entering into a binding contract to create a Bashly account or make or accept a booking.

Bashly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes and in accordance with these Terms.

You agree to:

3. Accounts

You are responsible for activity conducted through your account, except to the extent caused by circumstances outside your reasonable control.

You may not impersonate another person, create an account using false information, allow another person to misuse your account, or use another user's account without authorization.

4. Bookings and Payments

Bashly facilitates bookings between Hosts and Vendors.

Vendors establish the prices, descriptions, availability, and scope of the products or services they offer through the Services, subject to Bashly's platform requirements.

Before completing a booking, Hosts will be shown the applicable booking price and other charges collected through Bashly. By confirming a booking, the Host agrees to pay the amount disclosed at checkout in accordance with the payment schedule presented at the time of booking.

Payments are processed through third-party payment providers, including Stripe.

5. Vendor Platform Fee

Bashly charges Vendors a platform fee equal to 10% of the applicable booking amount for bookings made through the Services.

The platform fee will be deducted from amounts otherwise payable to the Vendor and reflected in applicable transaction or payout records.

6. Vendor Responsibilities

Vendors are solely responsible for the products and services they advertise, offer, sell, deliver, or perform through Bashly.

Each Vendor is responsible for:

7. Host Responsibilities

Hosts are responsible for providing accurate and complete information concerning their event and booking.

Hosts are responsible for:

8. Cancellations, Refunds, and Vendor Performance

Each Vendor may establish cancellation terms for its products or services. Applicable cancellation terms will be displayed or otherwise made available to the Host before booking.

Vendor No-Shows: If a Vendor fails to appear for a confirmed booking or otherwise fails to provide the booked products or services, the Host may be entitled to a refund.

Vendor Lateness: If a Vendor arrives more than one hour after the agreed service or delivery time, the Host may decline the Vendor's services and request a refund.

Vendor-Specific Agreements: A Vendor may require a separate agreement, waiver, rental agreement, damage policy, or other terms applicable to its products or services.

Disputes and Refunds: Bashly may assist Hosts and Vendors in resolving booking-related issues and may facilitate refunds, credits, payment adjustments, or other resolutions in accordance with these Terms and applicable Bashly policies.

9. Taxes

Vendors are independent businesses and are responsible for identifying, reporting, filing, and paying taxes associated with their business, income, personnel, and provision of products or services.

10. Off-Platform Transactions and Circumvention

You may not use Bashly to identify or connect with another user and then intentionally circumvent the Services for the purpose of avoiding Bashly fees or payment requirements associated with a booking originating through Bashly.

11. User Content and Vendor Listings

Users may be permitted to submit photographs, logos, descriptions, reviews, ratings, messages, and other content ("User Content"). You retain ownership of your User Content.

12. Reviews

Hosts may be permitted to rate or review Vendors. Reviews must reflect the user's genuine experience and may not contain knowingly false information, threats, harassment, unlawful content, or content submitted in exchange for undisclosed compensation.

13. User Conduct

You may not use the Services to:

14. Communications

Bashly may send you communications necessary to operate the Services and administer your account or transactions, including account notices, booking confirmations, payment information, security alerts, customer-support messages, and other transactional or service-related communications.

15. Third-Party Services

The Services may use or integrate services provided by third parties, including payment processing, mapping, communications, hosting, analytics, and other technology providers.

16. Errors, Pricing, and Corrections

Bashly and Vendors attempt to provide accurate information through the Services, but errors may occasionally occur. Bashly reserves the right to correct typographical, technical, pricing, availability, or other errors.

17. Relationship Between Bashly and Vendors

Vendors are independent contractors and independent businesses. Nothing in these Terms creates an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship between Bashly and any Vendor.

18. Marketplace Disclaimer

Bashly provides a marketplace that facilitates connections and transactions between Hosts and Vendors. Except where expressly stated otherwise, Bashly does not independently guarantee, warrant, endorse, certify, or assume responsibility for the quality or suitability of a Vendor.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BASHLY DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASHLY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

21. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Bashly, LLC and its members, managers, officers, employees, and agents from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to your violation of these Terms.

22. Disputes Between Hosts and Vendors

Hosts and Vendors are encouraged to attempt to resolve booking-related concerns promptly and in good faith. Bashly may provide tools or customer support intended to assist users in resolving disputes.

23. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small claims court, you and Bashly agree that disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court.

24. Termination and Suspension

You may stop using the Services at any time. Bashly may restrict, suspend, or terminate your access to some or all of the Services if Bashly reasonably determines that you violated these Terms or applicable policies.

25. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles.

26. Changes to These Terms

Bashly may update these Terms from time to time to reflect changes to the Services, our business practices, applicable law, or other operational needs.

27. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
